1. Introduction<\/b><\/h2>

These terms apply to the use of the GSMCloud platform (\u201cthe Service\u201d), which is provided by:<\/span><\/p>

2. Purpose of the Service<\/b><\/h2>

GSMCloud is a cloud-based platform for monitoring, data logging, alarm management, and remote control via GSM, Wi-Fi, LAN, and Bluetooth devices. The platform is primarily intended for business customers.<\/span><\/p>

3. Account Registration and Access<\/b><\/h2>

To use GSMCloud, you must create a user account. During registration, you will be asked to provide certain information, including your email address and contact details. You will also have the option to subscribe to newsletters and receive updates about system status and new features.<\/span><\/p>

4. Subscription and Payment<\/b><\/h2>

Use of GSMCloud requires an active subscription. Subscription terms, pricing, and billing intervals are specified separately on the website.<\/span><\/p>

Payment Methods<\/span><\/h3>
  • Business customers with a valid EU VAT number may pay by credit card or invoice.<\/span><\/li>
  • Private customers in the EU may only pay by credit card, except in Denmark, where both credit card and invoice options are available.<\/span><\/li>
  • An invoice administration fee of DKK 25.00 excl. VAT applies per invoice.<\/span><\/li><\/ul>

    Invoice Payment Terms<\/span><\/h3>
    • Payment term: 14 days from invoice date<\/span><\/li>
    • 5 days overdue: Payment reminder is issued<\/span><\/li>
    • 12 days overdue: First reminder sent with DKK 100.00 reminder fee<\/span><\/li>
    • 22 days overdue: Second reminder sent with DKK 100.00 reminder fee<\/span><\/li>
    • 32 days overdue: Debt collection warning sent with DKK 100.00 reminder fee<\/span><\/li>
    • 42 days overdue: Case is transferred to debt collection and the associated project is closed without further notice<\/span><\/li><\/ul>

      <\/span>Prepaid Credit and Usage<\/span><\/h3>

      Customers may prepay credit to cover variable services such as SMS and phone calls. Credit can be automatically topped up to a user-defined level when the balance falls below a chosen minimum.<\/span><\/p>

      A monthly usage statement is sent showing usage of SMS and phone calls. If such usage is deducted from prepaid credit, the statement is for informational purposes only and not valid for VAT deduction, as VAT was settled at the time of credit purchase.<\/span><\/p>

      Variable Pricing for SMS and Phone Calls<\/span><\/h3>

      Prices for SMS and phone calls are dynamically adjusted daily, based on current market and exchange rates. The current prices are always available under Settings > Project and Billing menus. Customers are responsible for monitoring applicable rates.<\/span><\/p>

      A default daily limit of 100 SMS or phone calls applies per project. This limit can be adjusted by the user under Settings > Usage limits.<\/span><\/p>

      5. Data Collection and Processing<\/b><\/h2>

      GSMCloud collects and processes various types of data from connected devices and users, including:<\/span><\/p>

      • Sensor data<\/span><\/li>
      • Location data<\/span><\/li>
      • Events and alarms<\/span><\/li>
      • User activity and access logs<\/span><\/li><\/ul>

        This data is used for functionality, troubleshooting, security, and improvement of the Service. All data processing is carried out in accordance with our [Privacy Policy].<\/span><\/p>

        6. Use of Third-Party Services<\/b><\/h2>

        The Service integrates with third-party providers, including SMS gateways and APIs, to enable features such as messaging and system integration. GSM Teknik ApS is not responsible for service disruptions caused by third-party providers.<\/span><\/p>

        7. Limitation of Liability<\/b><\/h2>

        GSMCloud is provided \u201cas is\u201d without any guarantee of uptime, error-free operation, or specific functionality. GSM Teknik ApS disclaims any liability for direct or indirect losses resulting from the use of, or inability to use, the Service.<\/span><\/p>

        8. Changes to the Terms<\/b><\/h2>

        We reserve the right to amend these terms with reasonable notice. In the event of significant changes, users will be notified via email or through the platform.<\/span><\/p>

        You may terminate your account at any time. GSM Teknik ApS reserves the right to suspend or close accounts in the event of a breach of these terms or misuse of the Service.<\/span><\/p>

        These terms are governed by Danish law. Any disputes shall be settled by the courts of Denmark.<\/span><\/p>

        11. Service Availability<\/b><\/h2>

        GSMcloud is available to customers in all EU countries.
